1. Scope of Application

1.1 These Terms and Conditions apply to all orders placed by customers through the online shop operated by Snuggle Collective UG (haftungsbeschränkt) as well as, where applicable, through third-party sales channels such as Amazon, Etsy, and TikTok Shop.

1.2 The seller offers products primarily to consumers. Business customers may also place orders. Certain statutory rights apply only to consumers within the meaning of applicable consumer protection law.

1.3 Any deviating terms and conditions of the customer shall not apply unless expressly agreed in writing.


2. Seller Information

3. Definitions

3.1 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.

3.2 A business customer is a natural or legal person or a partnership with legal capacity acting in the exercise of its trade, business, or profession when concluding the contract.


4. Conclusion of Contract

4.1 The presentation of products in the online shop or on marketplace listings does not constitute a legally binding offer, but an invitation to place an order.

4.2 By submitting an order, the customer makes a binding offer to purchase the selected goods or services.

4.3 In the Shopify shop, the customer places selected products into the shopping cart, proceeds through the checkout process, enters the required information, and submits the order by clicking the relevant order button.

4.4 The seller may accept the order by sending an order confirmation by email, by shipping the goods, by providing digital access, or by otherwise expressly accepting the order.

4.5 For orders placed via Amazon, Etsy, TikTok Shop, or other third-party marketplaces, the technical ordering process of the respective platform also applies. In such cases, these Terms and Conditions apply in addition to the platform rules unless mandatory law or platform-specific requirements provide otherwise.

4.6 The seller reserves the right to reject orders in individual cases, especially where products are unavailable, payment authorization fails, or there are indications of misuse or fraud.


5. Products and Availability

5.1 The seller offers, in particular, flags, clothing, pins, stickers, accessories, event tickets, and, where applicable, personalized products.

5.2 All product descriptions, illustrations, sizes, colors, and other information are provided as accurately as possible. Minor deviations customary in trade or caused by technical display differences may occur, provided they are reasonable for the customer.

5.3 Products are offered subject to availability. If a product ordered by the customer is unexpectedly unavailable, the seller will inform the customer without undue delay and reimburse any payments already made, if applicable.

5.4 Returned goods or items sold at a reduced price may be identified separately as such. Any known or specifically disclosed defects of such items do not constitute defects beyond the disclosed condition.


6. Personalized and Made-to-Order Products

6.1 The seller may offer personalized, customized, or made-to-order products upon customer request.

6.2 The customer is responsible for ensuring that any information, text, design, file, or other content submitted for personalization is accurate and does not infringe third-party rights.

6.3 The seller reserves the right to reject personalization requests that are unlawful, offensive, technically unsuitable, or otherwise unreasonable.

6.4 For personalized or made-to-order goods, statutory withdrawal rights may be excluded where permitted by applicable law.


7. Prices and Shipping Costs

7.1 All prices shown are final prices and include statutory value added tax where applicable, unless otherwise stated.

7.2 Additional shipping costs may apply. The applicable shipping costs are displayed during the order process and before the order is completed.

7.3 The seller ships within Germany and to other countries within the European Union.


8. Payment

8.1 The available payment methods may include Shop Pay, credit card, PayPal, Klarna, and direct debit, depending on the sales channel, destination, and result of the payment process.

8.2 The seller reserves the right to offer or exclude certain payment methods in individual cases.

8.3 Payment is due immediately upon conclusion of the contract unless otherwise agreed.

8.4 If a payment transaction is declined, reversed, or not executed for reasons attributable to the customer, the seller may suspend processing of the order until payment has been successfully completed.


9. Retention of Title

9.1 The goods remain the property of the seller until full payment of the purchase price has been received.


10. Delivery and Delivery Times

10.1 Delivery is made to the delivery address specified by the customer.

10.2 Deliveries are made by carriers such as DHL, Hermes, or DPD, depending on destination, logistics, and availability.

10.3 Unless otherwise stated in the respective offer, the estimated delivery time is 2 to 5 business days within Germany and 5 to 10 business days for deliveries within the European Union.

10.4 Delivery periods begin after full payment has been received, unless another payment method or delivery arrangement is agreed.

10.5 If delivery is delayed due to circumstances beyond the seller’s reasonable control, the delivery period shall be extended accordingly. The customer will be informed where reasonably possible.

10.6 If the customer provides an incorrect delivery address or otherwise prevents successful delivery, the seller may charge any additional costs incurred for repeated shipment, unless the customer is not responsible for the failed delivery.


11. Customer Account

11.1 Customers may place orders as guests or, where available, create an optional customer account.

11.2 The customer is responsible for keeping access data confidential and for ensuring that the information stored in the account is accurate and up to date.

11.3 The seller may restrict or deactivate customer accounts in the event of misuse, false information, security concerns, or other legitimate reasons.


12. Right of Withdrawal

12.1 Consumers are generally entitled to a statutory right of withdrawal for distance contracts.

12.2 Details of the right of withdrawal, including the conditions, period, consequences, and any model withdrawal form, are provided separately in the seller’s Withdrawal Policy.

12.3 The customer shall bear the direct costs of returning goods in the event of withdrawal, unless mandatory law provides otherwise.

12.4 The right of withdrawal may be excluded or may expire in cases permitted by law, including in particular for:

  • goods made to the consumer’s specifications or clearly personalized;
  • sealed goods not suitable for return for reasons of health protection or hygiene if unsealed after delivery, where applicable;
  • digital content not supplied on a tangible medium once performance has begun with the consumer’s prior express consent and acknowledgment of the loss of the withdrawal right, where applicable;
  • leisure-related services or event tickets for a specific date or period, where permitted by law.

13. Event Tickets and Digital Content

13.1 The seller may offer tickets for events and related digital booking confirmations or digital content.

13.2 Event tickets are intended solely for private use unless otherwise agreed.

13.3 In the case of events scheduled for a specific date or period, a statutory right of withdrawal may be excluded where permitted by applicable law.

13.4 The seller reserves the right to make reasonable changes to the organization of an event where necessary and reasonable, provided the core nature of the event is not materially altered.


14. Gift Cards, Vouchers, and Discount Codes

14.1 The seller may offer gift cards, promotional vouchers, and discount codes.

14.2 Unless otherwise stated, vouchers and discount codes are redeemable only during the stated validity period and only under the conditions communicated with the respective offer.

14.3 Vouchers and discount codes cannot be redeemed retrospectively for orders already placed.

14.4 Cash payment, interest, or refund of vouchers or discount codes is excluded unless mandatory law requires otherwise.

14.5 The seller may refuse redemption in cases of misuse, duplication, manipulation, or violation of applicable voucher conditions.


15. Warranty and Statutory Rights for Defects

15.1 The statutory rights for defects apply.

15.2 For consumers, the statutory warranty rights apply without limitation, except where a limitation is legally permissible and expressly agreed.

15.3 Where products are expressly offered as returned goods, B-stock, or with specifically disclosed defects, such disclosed characteristics shall form part of the agreed condition of the product.

15.4 Any commercial guarantee granted by the seller or a manufacturer shall apply only if expressly stated for the respective product. Statutory rights remain unaffected.


16. Liability

16.1 The seller is liable without limitation for intent and gross negligence, as well as for damages arising from injury to life, body, or health.

16.2 In cases of slight negligence, the seller is liable only for the breach of essential contractual obligations, that is, obligations whose fulfillment is necessary for the proper performance of the contract and on whose observance the customer may regularly rely.

16.3 In the case of a breach of essential contractual obligations due to slight negligence, liability shall be limited to the foreseeable damage typical for the contract, unless liability is unlimited under Clause 16.1.

16.4 The above limitations of liability do not apply where liability is mandatory under applicable law, especially under product liability law or where a guarantee has been assumed.


17. Contract Language and Storage of Contract Text

17.1 For orders placed through the German storefront, the contract language is German.

17.2 For orders placed through international or EU-facing storefronts, the contract language is English.

17.3 The order details and these Terms and Conditions are sent to the customer by email after the order is placed. Where a customer account is available, order data may also be accessible within the account.


18. Applicable Law

18.1 The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

18.2 If the customer is a consumer and has their habitual residence in another EU member state, mandatory consumer protection provisions of that state remain unaffected.


19. Consumer Dispute Resolution

19.1 The seller is not willing and not obliged to participate in dispute resolution proceedings before a consumer arbitration board.


20. Final Provisions

20.1 If the customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the customer and the seller shall be the seller’s registered office, to the extent legally permissible.

20.2 If any provision of these Terms and Conditions is or becomes wholly or partly invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

20.3 Individual agreements made with the customer in individual cases shall take precedence over these Terms and Conditions.
